Amendment to Bylaws

The Board of Directors has approved putting forward for a membership vote the following amendment to the Corporations Bylaws.

Proposed amendment:

ARTICLE XV - AMENDMENT

Amendments to these Bylaws may be proposed by either the Board of Directors, after a two-thirds vote of existing board members or by a petition signed by at least 30 WAP members in good standing. The Secretary shall receive both board-approved Bylaw change proposals and petitions. The Secretary will ensure all petitioners are current members of the Organization. The Secretary must reasonably schedule when the Organization will meet to vote on adopting the proposed Bylaw(s) amendments, choosing between a General Meeting or a Special Meeting, based on circumstances, publication schedule and other constraints. The Secretary must publish the proposed Bylaws 14 or more days before said meeting date on the WAP's online Discussion Forum (TCS) or by notification using other electronic media. The Bylaws will be amended on an affirmative vote of two-thirds of those Regular Members in good standing who are present and voting. The complete, amended Bylaws shall be published on the Corporation's public Web site and a notice placed in the next edition of the Washington Apple Pi Journal following its adoption. The Board of Directors or the membership may amend these Bylaws at any General Meeting or at a Special Meeting Called for that purpose by an affirmative vote of two-thirds of those Regular Members in good standing present and voting. Notice of all Bylaw amendments shall be published 14 days before the General meeting on the TCS and by electronic announcement. The complete, amended Bylaws shall be published in the next Washington Apple Pi Journal following the change. A current version of the Bylaws shall be posted on the Washington Apple Pi web page.
